Terms of Service

Introduction

Welcome to Ares. These Terms of Service govern your access to and use of our websites, applications, and related services. By creating an account or using the services, you agree to these terms on behalf of yourself or the organization you represent.

Eligibility and Accounts

You must be legally able to enter into a contract to use the services. If you are using the services on behalf of a company or other entity, you represent that you have the authority to bind that entity to these terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Subscriptions, Trials, and Billing

Paid plans, usage-based fees, and trial terms are described at the time of purchase or in an order form. You authorize us and our payment processors to charge applicable fees and taxes. Unless otherwise stated, subscriptions renew automatically until canceled. You are responsible for any taxes, duties, or similar governmental assessments.

Acceptable Use

You agree not to misuse the services or help anyone else do so. This includes:

  • •Violating laws or regulations, including privacy, anti-spam, and export laws
  • •Sending unauthorized, deceptive, or abusive communications
  • •Interfering with the integrity, security, or performance of the services
  • •Reverse engineering or attempting to extract source code
  • •Accessing the services through automated means without our written permission
  • •Using the services, any output of the services, or any data accessed through the services to develop, train, fine-tune, evaluate, benchmark, or improve any machine learning model, foundation model, or AI system that competes with or could be used as a substitute for the services
  • •Reselling, sublicensing, redistributing, or otherwise making available to any third party (including for consideration, as part of a data product, or as part of another service) any contact, company, enrichment, or other data obtained through the services, including data returned by third-party enrichment providers we integrate with on your behalf
  • •Using any Automated Output of the services (including coaching signals, skill assessments, win-likelihood estimates, deal health or pipeline scores, and similar outputs) as the sole or primary basis for any decision that materially affects an individual, including hiring, firing, promotion, demotion, discipline, compensation, commission, quota, performance improvement plans, coaching mandates, or any other employment, HR, or adverse-action decision

Service Changes, Beta Features, and Availability

The services are evolving. We may add, modify, suspend, deprecate, restrict, or remove features, integrations, models, endpoints, pricing tiers, usage limits, sub-processors, and other components of the services at any time and in our discretion. We will use reasonable efforts to provide notice of changes that we expect to be materially adverse to your use of the services, but we do not commit to any particular feature, integration, model, capacity, performance level, or uptime except where expressly set out in a written order form or service-level agreement signed by both parties.

Some features may be offered as alpha, beta, preview, early-access, experimental, or similarly labeled offerings ("Beta Features"). Beta Features are provided for evaluation only, may be incomplete, unstable, or unsupported, may produce inaccurate results, may be changed or withdrawn at any time without notice, and may not become generally available. To the maximum extent permitted by law, Beta Features are provided "as is" and "as available," without any warranty, indemnity, service credit, or service-level commitment, and our aggregate liability arising out of or related to Beta Features is limited to the fees, if any, you paid for those Beta Features. By using a Beta Feature, you accept these additional terms.

Customer Data and Content

You retain ownership of data you submit to the services. You grant Ares a limited license to host, process, and display that data solely to provide and improve the services. You represent that you have the rights and permissions needed to provide such data to us.

Meeting Recording, Consent, and Privacy

The services include features that allow you to record, transcribe, summarize, and analyze meetings, calls, and other communications. You decide whether, when, and whom to record. As between you and Ares, you are solely responsible for any recording activity you initiate or enable through the services, and you act as the controller of those recordings and their contents.

You are solely responsible for:

  • •Determining what consents, notices, and disclosures are required before recording or transcribing any meeting, including under federal, state, provincial, and local wiretap, eavesdropping, two-party-consent, and privacy laws applicable to every participant and jurisdiction involved
  • •Obtaining all such consents and providing all such notices from and to every participant before recording or transcription begins, and stopping recording if consent is withheld or withdrawn
  • •Complying with the policies of your employer and the employers, organizations, or platforms of other participants, including any restrictions on recording, automated note taking, or third-party meeting bots
  • •Honoring requests from participants to access, correct, delete, or stop processing recordings, transcripts, or derived content
  • •Providing any privacy notice or legal basis required for Ares to process meeting content on your behalf, including under GDPR, CCPA/CPRA, and similar laws

Ares does not independently verify whether consent has been obtained, whether a recording is permitted, or whether a participant has the legal capacity to consent. We provide the tooling; you are responsible for the decision to record and for the lawfulness of that recording. You represent and warrant that you have all rights, consents, and authority necessary to record, transcribe, upload, and otherwise process every meeting and participant submitted to the services, and you agree to indemnify Ares for any claim arising out of your failure to do so.

CRM and Third-Party System Write-Back

When you connect Ares to a customer relationship management system or other third-party platform (including Salesforce, HubSpot, Pipedrive, Slack, your calendar, your email, or any successor or analogous system), you may direct Ares to create, update, delete, or otherwise modify records in those systems on your behalf. This includes writing back contacts, accounts, opportunities, custom fields, notes, action items, call summaries, coaching outputs, AI-generated insights, and stage or status changes.

You authorize and direct Ares to perform these write-backs, and you are solely responsible for:

  • •Confirming that you and each user in your organization have the authority and licenses required to read from and write to the connected systems, including under your agreements with those third-party providers
  • •Complying with your organization's internal data governance, record retention, change management, and segregation-of-duties policies, including any restrictions on automated or AI-generated edits to system-of-record data
  • •Reviewing the scope, mapping, and filters you configure in Ares, and the outputs Ares proposes, before they are written to the connected system
  • •Maintaining your own backups of the connected system and any downstream reports, dashboards, automations, workflows, or integrations that depend on it
  • •Disconnecting the integration or restricting write permissions if you no longer wish Ares to make changes on your behalf

To the maximum extent permitted by law, Ares is not responsible or liable for any consequences of write-backs you direct, including overwritten or deleted records, duplicate records, corrupted or out-of-date data, broken downstream reports or automations, billing or commission calculation errors, loss of historical data, violations of your contracts with third-party providers, or any direct, indirect, incidental, special, consequential, or punitive damages arising from those consequences. Ares relies on the configurations, mappings, and instructions you provide and does not independently verify that a write-back is appropriate, accurate, authorized, or reversible. You represent and warrant that you have all rights, consents, and authorizations necessary for every write-back Ares performs at your direction, and you agree to indemnify Ares for any claim arising out of your failure to do so.

Shared Channels and External Participants

The services can ingest, store, and analyze messages, files, and other content from collaboration channels you connect or link to the services, including Slack Connect channels, externally shared workspaces, group calendar events, and email threads involving recipients outside your organization. Content authored by participants who are not your employees or your customers may be processed in the course of providing the services to you.

You are solely responsible for:

  • •Confirming you have the authority to connect a shared, external, or cross-organization channel to the services and to have Ares process the content posted in it
  • •Complying with the policies of the workspace owner and the employers, organizations, or platforms of every channel participant, including any restrictions on third-party apps, data export, or processing of messages authored by external users
  • •Providing any notice or obtaining any consent required for Ares to ingest, store, transcribe, summarize, or otherwise process content authored by participants outside your organization
  • •Honoring requests from external participants to access, correct, delete, or stop processing their content, and promptly disconnecting the channel if their consent or authority is withdrawn

Ares does not independently verify whether external participants have consented to processing, whether your connection of a shared channel is permitted by the workspace owner, or whether cross-organization processing is lawful in any participant's jurisdiction. You represent and warrant that you have all rights, consents, and authority necessary for every shared, external, or cross-organization channel you connect to the services, and you agree to indemnify Ares for any claim arising out of your failure to do so.

AI, Automated Insights, and Scoring

The services use automation, machine learning, and large language models to generate recommendations, summaries, action items, coaching signals, skill assessments, win-likelihood estimates, deal health and pipeline scores, and similar outputs (collectively, "Automated Outputs"). Automated Outputs are probabilistic, may be inaccurate, incomplete, biased, or out of date, and may change over time as models, inputs, and configurations change.

Automated Outputs are provided for informational and decision-support purposes only. They are not, and must not be treated as, professional, legal, financial, medical, or psychological advice, and they are not a substitute for human judgment. You are responsible for independently reviewing, validating, and exercising judgment over every Automated Output before relying on it, acting on it, sharing it inside or outside your organization, or writing it back to a connected system.

You agree that you will not use Automated Outputs as the sole or primary basis for any decision that materially affects an individual, including hiring, firing, promotion, demotion, discipline, compensation, commission, quota, performance improvement plans, coaching mandates, or any other employment, HR, or adverse-action decision. If you choose to use Automated Outputs to inform such decisions, you are solely responsible for ensuring that a qualified human reviews the underlying facts, that the use complies with applicable employment, labor, anti-discrimination, automated-decision-making, and data-protection laws, and that any required notices, disclosures, or opt-outs are provided to the affected individual. Ares is not responsible or liable for decisions you make based on Automated Outputs, and you agree to indemnify Ares for any claim arising out of your use of Automated Outputs in connection with such decisions.

Contact and Company Data Accuracy

The services surface information about people and companies that we obtain from third-party data providers, public sources, integrations you connect, and content you and other users upload (collectively, "Contact and Company Data"). This includes names, job titles, employers, work email addresses, phone numbers, LinkedIn URLs, company descriptions, websites, industries, locations, and similar fields.

Contact and Company Data is provided on an "as is" and "as available" basis. We do not independently verify it and we make no representation or warranty that it is accurate, complete, current, suitable for any particular purpose, or that any email address, phone number, employer, or title is correct for the individual it appears to describe. Records may be stale, incorrect, attributed to the wrong person, or refer to people who have changed roles, employers, or contact details. Data refreshed from third-party providers reflects what those providers report to us at the time of refresh and is subject to their own accuracy and currency.

You are solely responsible for:

  • •Verifying the accuracy and currency of Contact and Company Data before relying on it, contacting an individual based on it, or sharing it with anyone inside or outside your organization
  • •Complying with all laws governing outbound communication before sending any email, SMS, or other message or placing any call to a contact, including the CAN-SPAM Act, CASL, the Telephone Consumer Protection Act, do-not-call rules, GDPR, the ePrivacy Directive, and similar laws in every recipient's jurisdiction
  • •Honoring requests from individuals to correct or delete information about them in your account, and propagating those corrections or deletions to your connected systems
  • •Not using Contact and Company Data, or any output derived from it, as a "consumer report" or for any "permissible purpose" under the Fair Credit Reporting Act or similar laws, and not using it to make decisions about credit, insurance, housing, employment, education, government benefits, or any other decision governed by consumer-reporting, fair-credit, fair-housing, or anti-discrimination laws

Ares is not a consumer reporting agency and the services are not a consumer reporting service. To the maximum extent permitted by law, Ares is not responsible or liable for any consequences of inaccurate, incomplete, or out-of-date Contact and Company Data, including bounced or misrouted communications, contact with the wrong individual, regulatory penalties for outbound communications, or decisions you make based on that data. You represent and warrant that you will use Contact and Company Data only for lawful business-to- business purposes consistent with these terms, and you agree to indemnify Ares for any claim arising out of your use of Contact and Company Data in violation of these terms or applicable law.

Third-Party Services and Integrations

The services may interoperate with third-party services. Your use of those services is governed by their terms and policies, and we are not responsible for third-party products or services.

Intellectual Property

Ares and its licensors retain all rights, title, and interest in the services, including all software, design, and content, except for customer data that you provide.

Confidentiality and Security

We maintain administrative, technical, and physical safeguards designed to protect customer data. You agree to use reasonable efforts to prevent unauthorized access to your account and to promptly notify us of any suspected security incident.

Feedback

If you provide feedback or suggestions, we may use them without restriction or obligation, and you grant us a perpetual, royalty-free license to do so.

Suspension and Termination

We may suspend or terminate access to the services if we reasonably believe you have violated these terms, if required by law, or to protect the security and integrity of the services. You may stop using the services at any time.

Disclaimers

The services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Ares will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the services.

Indemnification

You agree to indemnify and hold harmless Ares and its affiliates, officers, employees, and agents from any claims, liabilities, damages, and expenses arising out of your use of the services or violation of these terms.

Governing Law

These terms are governed by the laws of the jurisdiction in which Ares is organized, without regard to conflict of law rules.

Changes to These Terms

We may update these terms from time to time. If we make material changes, we will provide notice through the services or by other reasonable means. Continued use of the services after the effective date of an update constitutes acceptance of the revised terms.
